Self Certification - Investor Suitability

Due to the nature of investing in EIS-qualifying companies, investors will need to certify that they meet one of the investor criteria listed below to prove that they are able to understand and accept the risks involved. Investors will be required to confirm their suitability in writing.

Enterprise Investment Scheme Bonds, EIS SEIS, Asset Backed Investments

Investing in startups and early-stage companies are only suitable for financially-sophisticated investors who are capable of evaluating such investments and who have sufficient resources to be able to bear any losses that may arise. Such losses may be equal to the whole amount invested.

No representation is or can be made as to the performance of the investment and there can be no assurance that EIS-qualifying companies will achieve their objectives. Past performance is no guarantee of future performance.

TrendScout conducts due diligence on all companies and verifies the content of all financial promotions under Section 21 of the Financial Services and Markets Act 2000 ('FSMA'). We also list what we believe are the most significant risk factors in the main financial promotion document. However, these may not necessarily comprise all of the risks associated with the investment as changes in the market or economic conditions or in legal, regulatory or tax requirements may be unforeseen and may adversely impact the company.

Information regarding TrendScout investment opportunities will only be provided to persons:

  • Whom the directors of the Company believe to be either (i) certified as a 'high-net-worth investor', (ii) certified as a 'sophisticated investor', in each case in accordance with the FCA's Conduct of Business Sourcebook (COBS), Chapter 4.7, and in respect of whom an FCA authorised adviser or other person will comply with the rules on appropriateness sets out in COBS, Chapter 10;
  • In respect of whom an FCA authorised adviser will comply with the rules on suitability sets out in COBS, Chapter 9;
  • Who are advised by an FCA authorised adviser who has classified them as a professional client pursuant to COBS, Chapter 3.5, in respect of investments such as the provided by TrendScout; or
  • Who are pension fund trustees investing pension money where the beneficiary of the pension would otherwise be entitled to invest in accordance with (a), (b) or (c).

1. I/We had, during the financial year immediately preceding the date below, an annual income to the value of £100,000 or more;
2. I/We held, throughout the financial year immediately preceding the date below, net assets to the value of £250,000 or more. Net assets for the purpose do not include:
i. The property which is my primary residence or any loan secured on that residence;
ii. Any rights of mine under a qualifying contract of insurance within the meaning of the Financial Services and market Act 2000 (Regulated Activities)Order 2001; or
iii. Any benefits (in the form of pensions or otherwise) which are repayable on the termination of my service or on my death or retirement and to which I am (or my dependents are), or may be, entitled.

1. I/We am a member of a network or syndicate of business angels and have been so for at least the last six months prior to the date below;
2. I/We have made more than one investment in an unlisted company in the two years prior to the date below;
3. I/We am working, or have worked in the two years prior to the date below, in a professional capacity in the private equity sector, or in the provision of finance for small and medium enterprises;
4. I/We am currently, or have been in the two years prior to the date below, a director of a company with an annual turnover of at least £1 million.
