Through these Terms, we will refer to you as “you” or “your”, and we will refer to TrendScout as “we”, “us”, “our”, or “TrendScout”.

This includes, but is not limited to, text, graphics, logos, icons, illustrations, images, sound clips, data compilations, page layout and design, underlying code, and software (collectively, “Intellectual Property”).
Except as provided by Part 1, Chapter 3 of the UK Copyright, Designs and Patents Act 1988 (“Fair Use Provisions for Copyrighted Materials”), you may not reproduce, copy, distribute, store, or re-use any of the Website’s Intellectual Property in any other fashion other than what is indicated on the Website or unless we have given express written permission to do so.
The Website may contain links to other websites over which we or our affiliates have no control. You, therefore, accept, understand, and agree not to hold us or our affiliates responsible or liable for the Content of these websites and any loss or damage from clicking and visiting these websites.
The Website also includes an exclusive community forum (“Investor Portal”) as part of our services. To access the Investor Portal, you accept, understand, and agree to:
TrendScout reserves the right to suspend or terminate your account and refuse any and all current or future use of the Investor Portal if we determine that the information provided is untrue, inaccurate, not current or incomplete.
You accept, understand, and agree that you are responsible for maintaining the confidentiality of your Investor Portal account username and password (collectively, “Investor Portal Login Details”) and all activities under your account.
You also accept, understand, and agree that TrendScout will not be liable for any loss or damage arising from any unauthorised use of your Investor Portal Login Details.
You accept, understand, and agree that you are solely responsible for all data and information, including but not limited to text, software, sound, photographs, graphics, illustrations, and video you publicly posted or privately transmitted within the Investor Portal (collectively, “Content”).
TrendScout does not control the Content posted and, as such, does not guarantee its accuracy, integrity, or quality. We are also not liable in any way and under any circumstance for any Content, including but not limited to errors and/or omissions present in the Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Investor Portal.
You further agree not to use the Investor Portal or the Website to:
Without limiting the preceding, TrendScout has the right to refuse and remove any Content that violates these Terms at our absolute sole discretion. We also have the right to preserve and disclose Content if required to do so by law or in the good faith belief that such preservation or disclosures are reasonably necessary to:
You, therefore, accept, understand, and agree to evaluate and bear all risks associated with the use of any Content, including but not limited to any reliance on the accuracy, completeness, or usefulness of any Content on the Investor Portal.
If you choose to register and use our Investor Portal, you will see that in the Platform Agreements, TrendScout details what parts of the Website and Content we are responsible for and what parts we are not.
Except for the specific terms stipulated within the particular Platform Agreement applicable to you, you accept, understand, and agree that:
You accept, understand, and agree that investing in startups involves risks, including illiquidity, lack of dividends, loss of investment and dilution, and it should be done as part of a diversified portfolio. The Website and Investor Portal are targeted exclusively at sufficiently sophisticated investors to understand these risks and make their own investment decisions. You accept, understand, and agree that you can only invest through the Website and Investor Portal once you are registered as sufficiently sophisticated. Pitches for investment are not available to the public, and members can only make investments on TrendScout’s Website and Investor Portal based on information provided in the pitches by the Startups concerned. Further restrictions and TrendScout’s limitation of liability are set out in our Investor Terms and Conditions. Please see independent advice as required, as TrendScout does not give investment or tax advice.
TrendScout has made every effort to ensure that these Terms adhere strictly to the relevant provisions of the UK Unfair Contract Terms Act 1977 and other applicable laws. However, if any of these provisions are found to be unlawful, invalid or otherwise unenforceable, that provision is to be deemed severed from these Terms and shall not affect the validity and enforceability of the remaining Terms. This clause on Severability shall apply only within jurisdictions where a particular term is illegal.
If either you or TrendScout fails to exercise any right or remedy contained in these Terms, that does not mean you or TrendScout (as applicable) have waived the right or remedy and so shall not be construed as a waiver.
From time to time, we may revise these Terms to reflect changes in the law, TrendScout’s services and/or policies. The revised version of these Terms will be uploaded on the Website. As soon as you use the Website after they are posted, you will be deemed to have agreed to the revised Terms whilst still bound by previous versions of these Terms to which you have consented. If there is a conflict between two versions of these Terms to which you have agreed, the more recent version shall take precedence unless it is expressly stated otherwise.

If you wish to complain about TrendScout’s services, the process for doing so is set out in the Investor Terms and Conditions and Startup Terms and Conditions. If we do not resolve the complaint to your satisfaction, you may have the right to complain directly to the UK Financial Ombudsman Service.
These Terms, and the relationship between you and TrendScout created by it, shall be governed by and construed under the laws of England and Wales.
You agree to submit to the exclusive jurisdiction of the courts of England and Wales. This means that if you want to bring legal action against us, or we want to bring legal action against you, it must be done in one of these courts.
