Terms of Use

You accept, understand, and agree that you are solely responsible for all data and information, including but not limited to text, software, sound, photographs, graphics, illustrations, and video you publicly posted or privately transmitted within the Investor Portal (collectively, “Content”).

TrendScout does not control the Content posted and, as such, does not guarantee its accuracy, integrity, or quality. We are also not liable in any way and under any circumstance for any Content, including but not limited to errors and/or omissions present in the Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Investor Portal.

You further agree not to use the Investor Portal or the Website to:

1. upload, post, email, transmit or otherwise make available any Content that is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libellous, invasive of another’s privacy, hateful, racist, or objectionable;
2. harms minors in any way;
3. impersonate any person or entity including, but not limited to a TrendScout director or employee; Startup founder, director or employee; forum leader; guide; or host;
4. forge headers or otherwise manipulate identifiers to disguise the origin of any Content transmitted;
5. upload, post email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright, confidential information, or other proprietary rights;
6. upload, post, email, transmit or otherwise make available any unsolicited or unauthorised advertising, promotional materials, “junk mail”, “spam”, “chain letters”, “pyramid schemes”, or any other form of solicitation, except in those areas that are expressly designated to cause harm, loss, or damage;
7. upload, post, email, transmit or otherwise make available any material that contains software virus, malware, trojans, worms, and other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software, hardware and/or telecommunications equipment;
8. disrupt the normal flow of dialogue, cause a screen to “scroll” faster than other users of the Investor Portal can type or otherwise act in a manner that negatively affects other users’ ability to engage in real-time exchanges;
9. interfere with or disrupt the Investor Portal, Website, or servers or networks connected to the Website and/or Investor Portal, or disobey any requirement, procedures, policies, or regulations of networks connected to the Investor Portal and/or Website;
10. intentionally or unintentionally violate any applicable local, state, provincial, national, or international law, including but not limited to regulations promulgated by any National, State, Provincial, or other Securities Commission or equivalent authority or government agency or office, any rules of any national or other securities exchange, and any regulations having the force of law;
11. stalk or otherwise harass another; or
12. collect or store personal data about other users.

Without limiting the preceding, TrendScout has the right to refuse and remove any Content that violates these Terms at our absolute sole discretion. We also have the right to preserve and disclose Content if required to do so by law or in the good faith belief that such preservation or disclosures are reasonably necessary to:

1. comply with legal process;
2. enforce these Terms;
3. respond to claims that the Content violates the rights of third parties; or
4. protect the rights, property or personal safety of the Investor Portal’s users, TrendScout’s director and employees, and the general public.

You, therefore, accept, understand, and agree to evaluate and bear all risks associated with the use of any Content, including but not limited to any reliance on the accuracy, completeness, or usefulness of any Content on the Investor Portal.
